Terms of Service

1. Acceptance of Terms

Cool Trading Journal ("we," "us," "our") is operated as a sole proprietorship doing business as Cool Trading Journal, reachable at cooltradingtools16@gmail.com. These Terms of Service ("Terms") govern your access to and use of cooltradingtools.io and our hosted application (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you don't agree, don't use the Service.

2. What the Service Is — and What It Isn't

Cool Trading Journal is an educational software tool for retail traders. It provides:

• A trade journal where you log your own trades
• A stock scanner with day trading, swing trading, and top movers views
• A study desk and library for reviewing past trades
• An AI Study Panel that asks Socratic questions about trades that have already completed

The Service is not, and we are not:

• A broker, dealer, exchange, or money transmitter. We do not execute trades or hold funds.
• A registered investment adviser or a financial planner. We do not provide personalized investment advice, recommendations, or solicitations to buy or sell any security.
• A regulated financial institution.

You are solely responsible for your trading decisions and outcomes. See Section 12 (Financial Disclaimers) below.

3. Account Terms

• You must be 18 or older to use this Service
• You must provide accurate account information
• You are responsible for maintaining account security and keeping your credentials confidential
• One person per account; no shared accounts
• You are responsible for all activity that occurs under your account
• Notify us promptly at cooltradingtools16@gmail.com if you suspect unauthorized access

4. Subscriptions and Payments

4.1 Free trial

• New accounts may receive a 14-day free trial of the paid subscription
• The trial automatically converts to a paid subscription at $29 per month at the end of the 14-day trial period unless you cancel beforehand
• You may cancel anytime during the trial through your account settings without being charged

4.2 Subscription billing

• Paid subscriptions are $29 per month and automatically renew monthly until cancelled
• Payments are processed securely through Stripe; we do not store full card numbers
• You can cancel anytime from your account settings; cancellation takes effect at the end of the current billing period
• We may change subscription prices on at least 30 days' notice. Changes apply to the next renewal after the notice period.
• Prices exclude any applicable taxes, which may be collected where required

4.3 AI Study metered usage

• Paid subscribers receive $10 of included AI Study usage credit per month (face value of AI usage), which resets at the start of each billing cycle
• Unused monthly included credit does not roll over. It expires at the end of each billing cycle
• If you exceed your monthly included credit, you may purchase optional top-up credits to continue using the AI Study Panel
• Top-up credit balances do roll over month to month while your account remains active
• Top-up purchases are non-refundable, including any unused balance, except where required by law
• If your subscription is cancelled or terminated, any remaining top-up balance is forfeited

4.4 Refunds

• Subscription payments are generally non-refundable. We do not provide refunds for partial billing periods, unused time, or unused AI Study credits
• We may, at our sole discretion, issue refunds in unusual or hardship cases on a case-by-case basis

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable financial, securities, or trading regulation
• Hold yourself out as receiving licensed advice or licensed services from us
• Submit material non-public information ("MNPI") about any company or security to the Service
• Use the Service to make automated trading decisions, generate trading signals for resale, or provide regulated advice to any third party
• Use the Service or any AI outputs to develop or train a competing product or AI model
• Reverse-engineer, decompile, scrape, or attempt to derive the source code of the Service, except as permitted by law
• Upload content that is unlawful, infringing, defamatory, or contains personal data of third parties without their authority
• Probe, attack, overload, or interfere with the security or integrity of the Service or any third-party services it relies on
• Resell, sublicense, or redistribute access to the Service
• Share your account credentials with any other person

We may suspend or terminate accounts that violate this section.

6. Your Content; Our License

Your content is yours. You retain all rights in the trades, notes, screenshots, tags, and other content you submit ("User Content").

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative analyses of your User Content solely to:

• Operate, maintain, and improve the Service for you
• Provide AI features (including transmitting necessary content to our AI provider as described in Section 7 and the Privacy Policy)
• Generate aggregate, de-identified statistics that do not identify you or your specific trades
• Enforce these Terms

We will not sell your User Content. We will not use the substance of your trade data, AI prompts, or AI conversations to train AI models — ours or anyone else's.

8. Our Intellectual Property

Other than your User Content, the Service — including software, designs, scanner outputs, prompt engineering, brand, copy, and documentation — is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes consistent with these Terms.

Market data displayed in the Service belongs to its respective providers (including Yahoo Finance and StockNews API).

9. Third-Party Services

The Service relies on third parties, including:

• Stripe — payment processing
• Anthropic — AI Study Panel
• Google — sign-in via OAuth
• Yahoo Finance (yfinance) — market data
• StockNews API — financial news
• FinViz — supplementary market data
• PostHog — usage analytics
• Replit and database providers — hosting and storage

Their own terms and privacy policies govern your use of their services. We are not responsible for their performance, accuracy, or acts.

10. Privacy

Our handling of personal data is described in the Privacy Policy, which is incorporated into these Terms.

11. Termination

You may stop using the Service and cancel anytime through your account settings. We may suspend or terminate your account immediately if you:

• Breach these Terms
• Engage in fraudulent or abusive activity
• Fail to pay subscription fees
• Create legal, regulatory, or operational risk to the Service

We will use reasonable efforts to notify you. Upon termination, your license to use the Service ends, your remaining top-up credit is forfeited, and we will retain or delete your data as described in the Privacy Policy. Sections 2, 6, 7, 8, 12, 13, 14, 15, and 16 survive termination.

13. Warranty Disclaimer

THE SERVICE AND ALL CONTENT, INCLUDING AI OUTPUTS, SCANNER RESULTS, AND MARKET DATA, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR ACHIEVEMENT OF ANY PARTICULAR RESULT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR FREE OF BIAS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for trading or investment losses arising from your use of the Service
• We are not liable for data inaccuracy, AI errors, market data delays, or service interruptions
• We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages
• Our total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) $100 or (b) the amount you paid us in the 12 months preceding the event giving rise to the claim

These limitations apply even if we have been advised of the possibility of such damages and even if a limited remedy fails its essential purpose. They do not apply to liability that cannot be excluded under applicable law.

15. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your User Content
• Your investment decisions or trading activity
• Your violation of these Terms
• Your violation of any law or the rights of a third party

16. Governing Law and Venue

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Minnesota, and you consent to personal jurisdiction there.

17. Changes to the Service and Terms

• We may modify, suspend, or discontinue features of the Service at any time
• We may update these Terms by posting an updated version with a new "Last Updated" date
• For material changes, we will provide reasonable advance notice (typically by email or in-app notice) before the changes take effect
• Continued use of the Service after changes take effect constitutes acceptance of the updated Terms

18. Miscellaneous

• Assignment. You may not assign these Terms. We may assign them in connection with a business transfer.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Force majeure. We are not liable for delays or failures caused by events outside our reasonable control.
